Standard terms and conditions governing wholesale trade with Structa Supply

These Terms of Trade ("Terms") govern all wholesale transactions between Wai Sing Associates Ltd. ("Structa Supply", "we", "us") and registered trade clients ("Client", "you"). By placing an order or maintaining a trade account with us, you agree to these Terms.
Structa Supply supplies goods and services exclusively to registered business clients. To open a trade account, clients must submit a completed registration and provide evidence of business registration. Trade accounts are subject to approval at our discretion. We reserve the right to suspend or terminate accounts in the event of non-payment, misuse, or breach of these Terms.
All orders must be submitted in writing (email or purchase order) and are subject to acceptance by Structa Supply. An order is confirmed only upon our written acknowledgement. We reserve the right to decline orders at any time without obligation. Minimum order quantities (MOQs) apply per product category and will be confirmed at time of enquiry.
Prices are quoted in Hong Kong Dollars (HKD) unless otherwise agreed. All prices are exclusive of applicable taxes, duties, and delivery charges unless stated otherwise. Quoted prices are valid for the period stated in the quotation and are subject to change without notice outside of confirmed orders.
Unless otherwise agreed in writing, payment terms are as follows:
Delivery timelines are estimates only and are not guaranteed. We will use reasonable efforts to meet agreed delivery dates. Risk in goods passes to the Client upon delivery. Structa Supply is not liable for delays caused by carrier, customs, or circumstances beyond our reasonable control.
Clients must inspect goods upon delivery and notify Structa Supply in writing of any shortages, damage, or discrepancies within 3 business days of receipt. Claims made after this period may not be accepted. Where a valid claim is confirmed, Structa Supply will at its discretion arrange replacement, credit, or refund.
Goods may only be returned with prior written authorisation from Structa Supply. Authorised returns must be in original, unused condition and returned in original packaging. Custom-sourced or special-order items are non-returnable unless defective.
Title to goods remains with Structa Supply until full payment has been received. Until title passes, the Client must store the goods separately and identifiably as Structa Supply's property.
To the extent permitted by law, Structa Supply's liability for any claim arising from a transaction shall not exceed the invoice value of the goods or services in question. We are not liable for indirect, consequential, or special damages of any kind.
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
We reserve the right to amend these Terms at any time. Updated Terms will be posted on our website. Continued trading with Structa Supply after any amendment constitutes acceptance of the revised Terms.
